Overview

Our Board has eight members, including seven independent directors and our chairman and chief executive officer. All of our directors are elected annually by our shareholders.

Our Audit and Risk Committee, Compensation and Benefits Committee and Nominating and Governance Committee consist solely of independent directors.

As part of its governance responsibilities, our Board actively monitors the performance of our leaders, the management of risk, effectiveness of policies and controls, and execution of the company's strategies. The Board believes that good corporate governance promotes sound decision-making and encourages transparency and accountability by management at every level.
