At Ameriprise Financial, Inc., we believe that sound and prudent corporate governance is critical to building shareholder value while preserving the company's legacy of serving clients' financial needs for more than a century. Our Board of Directors oversees the company's corporate governance and takes seriously its responsibility to promote the long-term best interests of our clients, shareholders and other stakeholders.


Overview

Our Board currently has nine members, including eight independent directors and our chairman and chief executive officer. All of our directors are elected annually by our shareholders.

Our Audit Committee, Compensation and Benefits Committee and Nominating and Governance Committee consist solely of independent directors.

As part of its governance responsibilities, our Board actively monitors the performance of our leaders, the management of risk, effectiveness of policies and controls, and execution of the company's strategies. The Board believes that good corporate governance promotes sound decision-making and encourages transparency and accountability by management at every level.
